There is a real explanation, not a conspiracy.
Delaware Chancery court is set up to handle corporate litigation. It has specialist judges, specialist courts and all the necessary infrastructure. This gives investors confidence that they know what to expect in the event of litigation. That is why 95% of Fortune 500 are incorporated in Delaware. Other states have enacted more generous laws (toward the corporations) to try and attract companies. It hasn't worked.
among other reasons:
liquidity
give the company an acquisition currency
give customers a sense of confidence in the survivability of the company (would you develop for/buy Intel chips if they were a private company?)
Actually no. The electoral college does not require a majority of popular votes cast. It does not even require a plurality (more than any other candidate). President Lincoln, for example, was elected with fewer popular votes than Douglas due to the electoral college.
Milken didn't rip anyone off. The only thing of which he was convicted was parking securities which is a technical violation at best. You should check your facts before you spout off.
Actually, I would take the contrary view. I am more concerned with what information they collect than what they do with it. I am particularly concerned about SSN# and home phone, for example. I believe they should be off limits. However, if a site tracks surfing habits I am happy for them to sell that information. Perhaps then I will receive ads for FHM (which I like) rather than for Britney Spears (whom I don't).
