If you hire someone to do advertising/sales for you, have them sign an NDA and a Non-compete.
Their fee should be a percentage of the additional income/revenue/turnover they manage to bring (so you need to know your current financial status to have a starting point). Not sure about the size of your company, but you may want to consider having a minimum and/or maximum on the fee in terms of actual $ (as opposed to percentage).
If you're giving out shares in the company, don't give too much.
