ps. Are you sure that your friends didn't create an LLC (Limited Liability Company). In that case there is no need for articles of incorporation.

First of all you can be legally obligated to perform in a certain way without a "USA law" saying so. For example, contracts create legal obligations without being recorded in any state or federal laws.
That being said, I imagine that most corporate charters require that the executives act in a manner that will create profit. If the charter says that, then the executives are legally obligated to "act in a manner that will create profit."
Also, I'm glad that you enjoy working for your company. It does sound like you are having a wonderful experience!!

Linus' goal is not to to be the figure head for linux. In fact that is exactly the opposite of what he wants. He understands that the power of linux is derived from the community, and that a single point of focus and authority would actually make the whole thing weaker.
