Justice Department Tells Time Warner It Must Sell CNN Or DirecTV To Approve Its AT&T Merger (nytimes.com)

An anonymous reader quotes a report from The New York Times (Warning: source may be paywalled; alternative source): The Justice Department has called on AT&T and Time Warner to sell Turner Broadcasting, the group of cable channels that includes CNN, as a potential requirement for approving the companies' pending $85.4 billion deal, people briefed on the matter said on Wednesday. The other potential way the merger could win approval would be for AT&T to sell its DirecTV division, two of these people added. As originally envisioned, combining AT&T and Time Warner would yield a giant company offering wireless and broadband internet service, DirecTV, the Warner Brothers movie studio and cable channels like HBO and CNN. If the Justice Department formally makes either demand a requisite for approval, AT&T and Time Warner would almost certainly take the matter to court to challenge the government's legal basis for blocking their deal.

      Your point is valid, but you miss mine, which is: This used to be done in the shade. Besides, this isn't protecting the consumer, this is Dear Leader being pissed at ATT for CNN's coverage of himself.

      Besides, in the past, the Gov't has taken a hacksaw to ATT for being too big.. once in the 30's and once in the 80's.. maybe more than that, I can't remember. Those were done in the open.

      But my point stands - this is a political knifing, which used to be done in the dark. This isn't protecting us, this is vengeance.

      Not sure that's what TP is saying: think what's being said is that consumer-protection and control by "giant corporates" might not have been on this Justice Department's mind, given that Big T don't like CNN, and vice-versa. I would guess the thinking goes that if it was News Corp. trying to merge with ATT, this Justice Dep't might not be so quick to require them to drop the Fox News network.

      Absolutely all political views are fungible and will be changed to meet the demands of defending or attacking whoever needs to be defended or attacked in a given moment. This isn't partisan, it's universal. A lifelong commie Berniebro-type may suddenly find themselves defending massive corporations if it means opening up an angle to attack Trump, or on the other hand he may start voting Trump and exploring white identitarianism after one too many idiots call him a nazi white supremacist for drinking milk or posting decade-old frog memes. On the other side, a conservative may flip his position on Obamacare provisions depending on whether Obama's name is attached, and a limited-government type may openly endorse a stealth coup by unelected bureaucrats just because he doesn't like who was elected.

      Politics is about tribalism, not issues. Hating or liking someone is more important than agreeing or disagreeing with them. Once you realize this, all political discourse becomes infinitely more understandable and less enraging (or, at least, enraging in different ways). Apparent doublethink or hypocrisy aren't logical flaws that can be used to defeat arguments, they're merely irrelevant side effects of the basic rules of the game.

      For them to directly tell a company that they have to sell a particular unit to make the deal go threw is a bit shady. Then you combine it with the fact that unit they want to sell is a news organization, that tends to be critical of the their boss, or more to the point their boss doesn’t like them because he prefers stations that suck up to him. Is worrying because it seems like the president is trying to mess with the freedom of press in any ways possible.

      Now media mergers are not good for the population however preventing them to silence them is just evil.

      The DirectTV part is relatively normal. Satellite has long been pitched as the alternative that makes cable monopolies somewhat OK. So telling a company they can't dominate the satellite market and have a large cable monopoly is pretty standard anti-trust action.

      The "Sell CNN" part is definitely shady.

      Trump's no angel, but Obama with his pen-and-a-phone was a lot closer to Peron, Chavez, and Maduro than Trump.

      When the alternative was a Clinton corruptocracy, Trump was probably the least-worst choice by the time Nov 2016 came around. Lord knows the swamp does need draining.

      The tax cut they just proposed is rated to make the deficit 1.7T worse. Now deficits went up way the hell too much under Obama, though much of that was the side effects of the original Bush tax cuts. Either way, when the economy is doing alright is sure as hell not the time to blow the deficit the rest of the way to hell.

      The country improved under Bill Clinton. It improved under Obama. From what I recall I think it did okay under George H.W but got worse under George W. We are seeing okay gains under Trump, but I think a lot of that is irrational exuberance. It is certainly not yet due to any legislation.

      Basically everyone is expecting a tax cut. Some of the gutting of the EPA might lead to growth too, just as deficit spending, which is what the tax cuts are would do. Its growth on a credit card. Buy now and hope the debt/environmental damage doesn't kill the grandchildren.

      I also fail to see how Trump has drained any swamp. I'll take no drama Obama back any day, though I agree with the term limits. How exactly would Clinton be worse? I'm not seeing it. I'd have expected Obama policies plus a bit more aggressive foreign posture. Certainly she wouldn't pander to Russia and we would have a lot more respect around the world. Right now about the only two countries that respect us are Russia and Isreal, and the reason for the former is not exactly benign.

Google Cristina Kirchner's "Ley de Medios" (Media Law), an ill-fated attempt to push legislation reforming media licenses. It main goal was to kill the Clarin Media Group, a stern oppositor, and they weren't really subtle about it either.

      I recall the vacuuming of information came out of 9/11, thus was bipartisan. Snowden revealed some of it and some things got scaled back, but yah Obama wasn't impressive on personal privacy, but then which president was?

      Nice try with the wedge issue though. Trump was certainly not one I'd look to to clean up that mess properly. I'd more expect him to use it, like everything else. Still if you have any proof he is better in that area, well I'd like to see it.

      Either way, I was hardly tricked. I was well aware of that once it was revealed. Trump's latest tactic was to apparently force the CIA? directory to listen to a conspiracy theorist so he could promote a lie about it not being the Russian's behind the hacks. You will note how our president continues to lie about that. How can he be the leader of the free world if he refuses to accept basic, well sourced and many times verified information? At best it is garbage in garbage out, but that would make him not a leader but more of an out of control nut case.

      Do like most here and just imagine your own reasons. It helps to apply some political bias or motivation. What you don't need to do is look for anything the actual DOJ might have included in their explanation, reporters have already decided that's not important.

      The DoJ explanation was that AT&T/TW offered to sell off Turner to move the deal forward, which everyone else denies.

      According to a DOJ source, the companies made an offer to put CNN up for sale in order to get the deal done. Another DOJ source said "the parties offered to divest CNN and the DOJ Antitrust Division flatly rejected it."

      Source: Reporters who decided that it was so unimportant to mention this that they put it right at the top of their story.

      Why accept whatever sophistry the DOJ came up at face value? For whom is the DOJ still an impartial agent? When (D)s have it they hound scofflaws in Idaho cabins and Texas religious compounds and ignore border security. When the (R)s have it they go after immigrants. It's a political football and nothing they assert is free of political consideration.

      It is amusing that in this case the quintessential "corporate media" entity CNN is on the docket. The people that have bitched and moaned about corporate hegemony over US media are suddenly all outraged on behalf of Time Warner's mouthpiece because Trump and stuff.

      I suspect not influenced by administration, as typically these merger decisions by the justice department have been hands off. The issue is more that this is unexpected. The last similar vertical merger (Comcast and NBC) required a consent agreement to not abuse that merger (exploiting its new content provider to promote its content deliver and vice versa). However Comcast was not really living up to that agreement. So now I seems possible that the justice department figred that a similar agreement for AT&T and Time Warner wasn't going to work.

      That said, I'd rather that they just stop the merger outright, then leave the companies to figure out what they need to jettison on their own before they try to merge again.

      (also note, this Time Warner is not the same as Time Warner Cable)

    Side note, DTV customer service SUCKS since the AT&T takeover. We made a small change to our service, they screwed it up, then they screwed up the billing for it, and it has taken about 5-10 so far to try to get it fixed, and (as of right now) it's still not fixed. DTV was never perfect, but if there was a problem (and that was rare), it was usually fixed with a call or two. The current problem is not even the first we've had in the couple years since the takeover.

      I'm glad I made the right choice jumping ship. I canceled service the moment that the merger was announced. AT&T destroys pretty much everything that it touches. I'm glad they weren't allowed to merge with T-Mobile.

      Prism TV isn't perfect, but it's quite a bit better than the other options.

      Your mistake is believing it's accidental. If it's a billing error, it means it was a billing "error" in their favor (or you wouldn't be calling them about it).

      Think about it this way - if they can screw maybe 10% of their subscriber base out a few extra bucks a month, that's a few million in the bank. Sure they'll call and bitch, but eventually they'll give up of the 2 hour + times on the phone dealing with a $3 overcharge

      And heck, they probably know what phone numbers you call from, so they can "all agents are currently busy andd we'll handle your call in priority order" you for an extra half hour or more.

      The goal is to make it not worth your time to call them to fix it so they can keep dinging you an extra few bucks a month.

      Same with the "you'll see a credit on your next bill". They hope you'll forget about the money by then, too.

      This is why autodraft payment of bills is dumb. You send the payment each time and you send only what they are due. $3 overcharge? You send $3 less than they billed you and you note why in the memo field of the check.

      I've never had to wait 30 minutes on the phone to get this cleared up :)

      AT&T/legacy DIRECTV tech support agent here (posting without permission, thus the anonymity); while you're right that the system is geared towards avoiding paying credits out for mistakes/incorrect promises made by agents, it isn't implemented by the agents but rather by the call handling system that we use, and there is one thing that balances this out: keeping agents on the phones is expensive, and at a certain number of callbacks you will be automatically routed to someone a little higher up the totem pole, until you either have your issue resolved or your account is disconnected*. To make life a little easier, here are a few other tips for you:

      1) The bill ledger system we use is confusing, and if you can identify the exact date that a disputed charge is made and/or the exact dollar amount of the charge, you will get a fix a lot faster.

      2) There is nothing you can threaten an agent with that will make them give you a better deal, they'll just present the best deal they can find from the computer system. If you aren't getting what you need, start asking about your commitment end date -- if the agent is too low-level to help you, they'll transfer you to the disconnect group, where you should get someone with a bit more authority.

      3) Since DIRECTV bills in advance, increasing your service level will create an immediate prorated charge for the difference in price through the end of your billing cycle, plus the price difference for the following billing cycle, while service level reductions create an immediate prorated credit -- the price you see on your next bill won't be the same as the following bills assuming your service level stays the same. To avoid this, try to make changes one or two days before the end of the billing cycle.

      4) Credits for promotional offers usually don't apply until the next full billing cycle -- so if we give you three months' free HBO fifteen days before the end of the billing cycle, you'll get 15 days of chargeable HBO service, followed by 3 months of free service.

      5) If you need a service call and you don't subscribe to the protection plan, you can avoid the $99 fee (usually) by adding the protection plan when you call for service, then removing it 31 days later. Your mileage may vary, since this is promotional instead of contractual.

      6) Our server maintenance usually happens on Saturday and Wednesday nights. The best time to call is between 8:00 PM and 1:00 AM EST on Tuesdays and Thursdays.

      People tend to call bullshit when they see bullshit. For instance firing comey because they were mean to Hillary is complete and total bullshit. Saying that Trump now cares about anti trust, and the first case of caring is the news organization holding him to account, sounds an awfully lot like bullshit. Of course I think they should block a crap load of these mergers, just because companies get too big, not because they are Trump's political enemies.

      What does it even matter now? The readership of the flagship journalism outlets like the Washington Post and the New York Times is falling, and what you're left with is basically "All Hyperbole All The Time" outlets like CNN and Fox News. It's pretty clear most people are not interested in news, but rather in heavily editorialized reporting that allows them to nestle safely into their echo chambers. Just look at the coverage of the gubernatorial and state elections in Virginia. From CNN, you would think 2018 is already won for the Dems, and if you read Fox News, it's a whole lot of "yeah, that don't mean nuthin'", when in fact while it does mean something, it's still a long road to November 2018, as the boring old time journalist rags will remind everyone. But that kind of cautious, balanced reporting doesn't get the hits, but a constant barrage of talking heads in an increasingly hyperpartisan atmosphere, now that gets the dollars flowing.

      at&t would never give up directv... so it will be turner broadcasting (and along with it, cnn) that gets sold in order to complete this deal. )it's not enough, btw, they should have also had to shed hbo, etc. and the studios, too)

      but not being sucked-in to at&t is NOT a punishment. it's a fucking REWARD; obviously for excellence in journalism.

      I tend to agree, but this is best solved by sticking to facts & principles in news, rather than abandoning those because everyone else is. I read all stories for the who, what, when, where, why and how. I check all their sources (if any are provided). If an article can't manage that basic level of factual disclosure, it's no different from just hearing a rumor on the internet.

    Trump has had the stance since day one that the merger wouldn't happen under his administration, so this is expected.

    In addition, we need to break these folks up, not let them keep consolidating into ever larger " too big to fail " entities. We have a monopoly problem already, don't need to throw more fuel on the fire.

    One giant company shouldn't be allowed to own the content, the pipes and the end mechanism to deliver it all.

    Too much power consolidated into too few hands makes it all too easy to sway public opinion in any direction you want. Trump is all too aware of this considering how the media has behaved since the election.

    Though I suspect if the TW deal happens, it won't be long before AT&T starts prepping to sell off its wireline services.

      I agree ATT wont sell DTV. too much valuable spectrum that can be put to other uses once linear TV programming goes the way of the dodo bird. spectrum is about the only thing of real value any of these companies have anymore. The programming is shit, The wireline service is rotting away and im sure theyll be more than happy enough to dump that into someone elses lap like Verizon did with the wireline they dumped into Frontier's lap.

      That directv spectrum doesn't just have to be used from space to ground, could just as easily be used from tower to cell phone

    In broad terms, there is an argument that government should tune the mixture and sizes of corporations within markets so to maximize social efficiency or equity. On the other hand, there is the philosophical objection that individual liberty should take precedence, and that sub-optimal social outcomes must be accepted as a price for granting individuals liberty to make decisions on their own, free of coercion, because individual liberty is inherently preferred. The latter would not be unusual. For example, the liberty to eat refined sugar predominates over the public health benefits of its prohibition.

    Regulation of mergers is a moot issue though, because the FTC bureaucrats have no real knowledge what are the consequences for the market of their dictates. It's all hocus-pocus. A larger corporation can benefit consumers by providing economies of scale and eliminating needles competition. Or it can harm consumers by reducing price competition. Which is declared by officials in what case is determined by political affiliations of the regulated and benefits the regulators choose to extort for a favored constituency. Edicts are not based on science, but a combination of inept meddling, political retaliation and extortion. Giving the FTC the power to block and restrict mergers is of no demonstrable benefit and only increases opportunities for corruption. It seems that regulation would be necessary to prevent monopolization before it forms because, historically, there have been some beneficial breakups of monopolies. The AT&T, Standard Oil, and railroad monopoly breackups stand out as convincing examples. But looking into the details, it turns out that those monopolies were created by government regulations to begin with, so that the the net effect of regulation was negative.

    If CNN was genuinely opposed to this kind of regulatory meddling on principle, as opposed to acting as mouthpiece for the self-serving financial interests of it's corporate parent, it might have expressed some concern during 30+ years history of increasing intervention. Apparently, regulations apply to everyone else.

    If Trump ordered this as hit on CNN (there is no evidence he did) ya, of course that is unjust. But this kind of things has been going for while. While the Obama administration was notorious for playing politics with regulatory policy, CNN never said a thing.

      You are completely wrong that this is a vertical merger. This is not a vertical merger. DirecTV and Turner Broadcasting are both large, conglomerated content delivery networks. Merging the two definitely creates horizontal anti-trust issues, and DoJ is making the right call to block it.

    So far, just about everything has come from unnamed sources and none of them seem to have much of a clue. Chances are, lots of things were thrown around without being proposed as actual deals. The only comment from a named source is from AT&T's CEO:

    "Until now, we've never commented on our discussions with the DOJ. But given DOJ's statement this afternoon, it's important to set the record straight. Throughout this process, I have never offered to sell CNN and have no intention of doing so,"

    Even CNN has walked back most of its speculation, so this looks like a big misunderstanding without any ulterior motives. Move along, nothing to see here.
