No exactly. They have an obligation to the shareholders within the scope of their buisness model. They no more have to sell then open a McD's in the corperate office just because it would turn a profit.
Still, in their paid service, the Directors only have to consider recomending the sale or not. The shareholders can vote in any way they choose, which (From a completly econic point of view) would be: would the short term sale net me more money then the potential long term growth. Remember that the buying company either thinks that the long term growth is better, or that the two togeather will result in a better profit model.
There are approximately 161 million shares outstanding. (Referance)
Exec's and directors own 48.8%. or approx 78.5 million. 21million shares are set for stock options. The staff and management control the vote.
At $8.41, that's 1.35 billion to buy it at face value, and if ``talks'' continue, that'll run way up.
How would this effect simulated and networked hard-drives... SMB and NFS(&c &c) drives and keep the files on disks elsewhere, and loop-back filesystems and products like VMware that use files to simulate harddisk space?
The basic problems taht could exist are that MS *COULD* allege that the code in Linux to support NTFS. They could posibly levy this into a actions to prevent distributions from releasing this portion of the kernel (in code or binary form). That seems to be the Worse Case for the Linux comunity.
OTOH- This contest shows a limited consent for `us' to attack the system. Any development against a scheme developed in this time period could have use this as a excuse. The entry need not be reported to them, as it may not be `major' enough to `get the prize', but they have, with this contest _GIVEN_ us a excuse and consent to hack at it, but not to use it. I would, however, suggest that we hold SOME of this idea until we are given access to the inital agreement.
One Idea is to have a machine not on the net, connected to a machine with syslog running via a serial line. Have the log files sent down the serial in a plain format and log that. No access to the reall "logging" machine except at console. Copy the logs to a CD every few hours/days/weeks/months/whatever and viola!
Let's not forget AOL's famous takeover bid for RedHat...

If `Obscene' is a specific legal term, and the Police described his website as Obscene, could the statement be libel?
