I've been running XP for a few weeks, and there is no real reason to upgrade from 2k that I have seen. The most obvious difference is the "ugly look" you mentioned (though it's very easy to make it look just like 2k). It also has system restore (like Windows ME), explorer can handle.zips, and there is integrated cd burning. Basically just 2k with some home-user oriented additions.
The good thing about XP is that an NT based MS OS will finally be marketed at and sold to home users.

If you have no problem with that, then that's your right to feel that way. That seems pretty creepy to me, though, even if I have nothing to hide.
