well some differences between win4lin and vmware I can think of:
1. price difference. $80 vs $300
2. the consensus is that win4lin is much faster than vmware. so much so that if I want to browse huge xml files (several MBs) I would rather open it in IE under win4lin than under mozilla under linux.
3. win4lin only supports win98/ME.
4. win4lin uses the native linux file system so files can be shared by windows/linux (you can create a sym link to your home directory under the win4lin windows directory
5.win4lin has limited support for certain devices such as USB devices (other than mice and keyboards)
I guess they do partial directx, that is, games that run in full screen mode won't work. but running windows media player in full screen mode does work.
admittedly I haven't really tested running starcraft under win4lin, although I doubt it would work.

offhand without knowing the actual figures, there are two reasons why Disney might be worth more as part of an acquistion.
the first would be "synergies" which would the additional value created by the merger. Yeah, it sounds like a cop-out, but it refers to additional market share; lower infrastructural costs; leverage of distribution chains etc. that would increate the valuation of the merged firm as compared to both separately. Synergies can be negative though...
the second would be the amount of debt/equity ratio (financial leverage) of the new firm. Again, I don't have the exact figures, but if a firm is able to take on more debt all things being equal its total valuation goes up since interest payments are tax-deductable; so by increasing your debt/equity ratio, you actually create firm value. which is why firm's with a relatively low amount of debt are attractive targets for hostile takeovers.

Red Hat isn't a marketing organization or even an OS distribution company. It is a support company. Its revenue mainly comes from its support contracts rather than from actually distributing various releases of linux.
btw, I don't think you actually understand their distribution cycle. How long do you think it will be until 2.6 has been stress-tested? Companies need some kind of high level road map to plan their releases, not some unknown "3 months after Linus annouces 2.6 stable" date.

you've never taken a basic finance course before have you? what's to prevent a corporate raider from taking over such a company (think LBO) and making a huge profit? if you have $50 billion in net assets, you basically can buy it cheap and liquidate it immediately. or management can buy out the company and take it private.
that's why real financial analysts have valuation models of a company using its free cash flow, which help them gauge whether a company is 'cheap' relative to their valuation.
